1. Who these terms apply to
These terms apply to businesses that engage FLUXMA for services. They do not apply to consumers. By signing a proposal, statement of work or order form that refers to these terms (an “Order”), you agree to them. If an Order conflicts with these terms, the Order wins for that engagement.
2. Our services
We design, build, integrate, host, operate and support automation systems, AI agents, data pipelines, websites, funnels and marketing and creative services, as described in each Order (the “Services”).
We will perform the Services with reasonable skill and care, using appropriately experienced people and tools. Timelines in an Order are estimates unless the Order says they are fixed.
3. Your responsibilities
You will give us timely access to the systems, accounts, information and people we reasonably need, and make sure you have the right to give us that access.
You remain responsible for decisions made using the Services, for your compliance with laws and regulations that apply to your business, and for approving any outward-facing or regulated activity before it goes live. Systems we build can be configured to require your approval for such actions.
4. AI outputs
The Services use artificial intelligence. AI outputs can be incomplete or wrong. We design systems with checks, logging and human approval where appropriate, but you should review outputs that matter before relying on them. Nothing we provide is legal, financial, tax or regulatory advice unless an Order expressly says so and is delivered by a suitably qualified person.
5. Fees and payment
Fees, expenses and any third-party costs (such as software licences, model usage, advertising spend or hosting) are set out in the Order. Unless the Order says otherwise, invoices are payable on issue and we may pause Services if an invoice is more than 14 days overdue. Fees exclude VAT, which is added where applicable.
6. Third-party platforms
Many Services depend on third-party platforms that you or we hold accounts with. Their terms apply to your use of them and we are not responsible for their availability, changes or charges. Where we hold an account on your behalf, we will hand it over or close it at the end of the engagement as you direct.
7. Intellectual property
You own your data and the deliverables created specifically for you, once paid for. We keep ownership of our pre-existing tools, code, prompts, frameworks and know-how, and grant you a non-exclusive, perpetual licence to use any of them that are built into your deliverables for your own business. We may reuse general learning that does not identify you or include your confidential information.
8. Confidentiality and data
Each of us will keep the other's confidential information confidential and use it only for the engagement. Where we process personal data on your behalf, we act as your processor and the data processing terms in the Order, or our standard data processing addendum, apply. We will put appropriate technical and organisational measures in place to protect that data.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or anything else that cannot be limited by law.
Subject to that, neither of us is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss. Our total liability under or in connection with an Order is limited to the fees paid under that Order in the 12 months before the claim arose.
10. Term and termination
Each Order runs for the period it states. Either of us may end an Order on written notice if the other materially breaches it and does not fix the breach within 30 days, or becomes insolvent. On termination you pay for Services performed up to the end date, and we return or delete your data as you reasonably direct.
11. General
We may use subcontractors and remain responsible for them. Neither of us is liable for delays caused by events outside our reasonable control. These terms and any Order are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
